Terms of Use

Last updated: October 15, 2026

These Terms form a binding agreement between you and the Paysorta product (built by GGTConnect) for your access to and use of our websites, dashboards, APIs, and payment products.

01Introduction and acceptance

These Terms of Use (“Terms”) govern your access to and use of the Paysorta website, dashboard, mobile applications, application programming interfaces (APIs), checkout, payment links, and related products and services (together, the “Services”).

By creating an account, integrating our API, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Where you accept these Terms on behalf of a company or organisation, you represent that you are authorised to bind that entity, and “you” refers to that entity.

02Who we are and how we are licensed

Paysorta is a payment product built by GGTConnect. References to “Paysorta”, “we”, or “us” in these Terms mean the Paysorta product and the GGTConnect team behind it. Our operations are based at 9, Younis Bashorun Street, Off Ajose Adeogun Rd, Victoria Island, Lagos, Nigeria.

In Nigeria, our payment processing runs under the Payment Solution Service Provider (PSSP) licence of DotFit Technologies Inc., issued by the Central Bank of Nigeria (CBN). Under that licence, payment processing gateways and portals may be operated, payment solutions built, and merchant collections aggregated.

  • A PSSP licence does not authorise the holder to hold customer funds, operate customer wallets, or act as a bank. Settlement of funds is completed through licensed banks and financial partners.
  • Payouts, foreign exchange, card issuing, and wallet features (where offered) are provided together with or through licensed banking and financial partners, and may carry additional partner terms.
  • We maintain PCI DSS, ISO 27001, and SOC 2 aligned controls for the parts of the Services to which those standards apply. Certifications may be updated from time to time.

03Who may use the Services

To use the Services you must:

  • Be at least 18 years old, or the age of majority in your jurisdiction;
  • Be legally able to enter into binding contracts and not be barred under applicable law;
  • Complete merchant onboarding, including know-your-customer and know-your-business (KYC/KYB) checks, and keep your information accurate and up to date;
  • Use the Services only for lawful business purposes in jurisdictions we support.

We may refuse, condition, or withdraw access where verification fails, where required by law or a regulator (including the CBN), or where risk, fraud, or compliance concerns arise.

04Our services

Paysorta provides payment infrastructure for businesses — including online checkout, payment links, API-based collections, in-person acceptance (such as POS, where available), transaction reporting, webhooks, and developer tooling.

  • Collections: accept card, bank transfer, USSD, and other supported payment methods from your customers, subject to availability by market and partner.
  • Dashboards and APIs: create payments, verify transactions, manage refunds and chargebacks, and reconcile through reports and webhooks.
  • Additional products (for example financing, accounts, or issuing) may be offered directly or with licensed partners and may be subject to separate agreements.

We work to keep the Services available and performant, but availability may vary with maintenance, partner systems (banks, card schemes, mobile networks), and events outside our control. Transaction limits, supported methods, and settlement timing may differ by market and risk profile.

05Your obligations as a merchant

  • Provide true, complete, and current business, ownership, and settlement information, and notify us promptly of changes.
  • Only submit genuine transactions for goods and services you are authorised to sell, with clear pricing, delivery terms, and refund policies shown to your customers.
  • Maintain adequate records, reconcile settlements and webhook events, and cooperate with KYC/AML reviews, audits, and information requests from us, our partners, or regulators.
  • Obtain all necessary consents from your customers to process their payments and share transaction data with us for processing, fraud prevention, and regulatory compliance.
  • Comply with card scheme rules, CBN directives, anti-money laundering and counter-terrorism financing (AML/CFT) laws, tax laws, and consumer protection laws.

You are responsible for your integration, including secure handling of API keys, webhook secrets, and dashboard credentials, and for activity that occurs under your account.

06Fees, settlement, refunds, and taxes

  • Fees: transaction, payout, FX, and service fees apply as published in your pricing schedule or dashboard. We may update fees with reasonable notice; continued use after the change takes effect means you accept the new fees.
  • Settlement: net settlement (transaction value less fees, refunds, chargebacks, reserves, and adjustments) is paid to your designated settlement account with a licensed financial institution. Timing depends on payment method, risk review, and partner processing cycles.
  • Reserves and holds: we may apply rolling reserves, delays, or holds where required for risk, fraud, chargeback exposure, or regulatory reasons.
  • Refunds and chargebacks: you authorise us to debit refunds, chargebacks, reversals, fines, and related costs from settlements or your linked account. You remain liable for any shortfall.
  • Taxes: fees are exclusive of applicable taxes (including VAT, where applicable). You are responsible for your own tax filings and for any withholding obligations.

07Restricted and prohibited businesses

Because we operate a licensed payment infrastructure, some business categories need prior written approval, and others cannot use the Services at all. We may update these lists as card scheme rules, partner requirements, or CBN directives change.

Require pre-approval (contact us before onboarding): age-restricted goods or services; marketplaces and platforms onboarding third-party sellers; crowdfunding and donations; dating services; online pharmacies; NGOs and charities; money services and remittance businesses (must be separately licensed); lending, buy-now-pay-later, and debt collection; insurance distribution; investment, brokerage, and crypto-asset services; digital wallets and prepaid products; travel and hospitality with high advance-payment risk; and government or quasi-government collections.

Prohibited (cannot use the Services): illegal goods or services; counterfeit or infringing goods; adult sexual content and escort services; unlicensed gambling, lotteries, and prize schemes with monetary awards; narcotics and paraphernalia; firearms, ammunition, explosives, and hazardous materials; “get rich quick” and multi-level marketing schemes where prohibited; deceptive free-trial or negative-option billing; unlicensed FX dealing; and any activity that promotes violence, hate, or the exploitation of children.

If you process for a restricted or prohibited category without approval, or misrepresent your business, we may suspend settlements, hold funds pending review, and terminate your account, in addition to any remedies required by law or our partners.

08Privacy, data protection, and security

How we collect, use, share, and protect personal data is described in our Privacy Policy, which forms part of these Terms. By using the Services you confirm you have read it and will provide accurate information.

  • We process transaction and merchant data to operate the Services, prevent fraud, and meet legal duties under Nigerian law (including the Nigeria Data Protection Act 2023, CBN directives, and AML/CFT obligations).
  • Card data is handled under PCI DSS requirements as applicable; our information security programme aligns with ISO 27001 and SOC 2 practices.
  • You must enable available security controls (including two-factor authentication), keep credentials confidential, and notify us immediately of suspected compromise.

09Intellectual property and licence to use

The Services, including software, dashboards, APIs, documentation, text, graphics, logos, and the Paysorta, GGTConnect, and DotFit names and marks (the “Content”), are owned by us or our licensors and protected by intellectual property laws. Nothing in these Terms transfers ownership to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services as permitted by these Terms and your plan. You must not copy, modify, reverse-engineer, decompile, resell, or create derivative works from the Services except as allowed by law or with our written permission.

Feedback or suggestions you send us are voluntary; we may use them without obligation or compensation to you.

10Acceptable use

You agree not to:

  • Use the Services for unlawful, fraudulent, or deceptive activity;
  • Attempt to gain unauthorised access, disrupt, overload, or probe the Services, or introduce malware or other harmful code;
  • Circumvent risk controls, misrepresent transaction details, or process transactions you know or suspect are unauthorised;
  • Use card-present flows as virtual terminals (or vice versa) contrary to scheme rules, or aggregate transactions for undisclosed third parties without approval;
  • Infringe the rights of others, including privacy and intellectual property rights.

We may monitor for fraud, abuse, and compliance, and take steps including throttling, holds, suspension, or reporting to authorities where we reasonably consider it necessary.

11Warranties and disclaimer

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, availability, security, title, and non-infringement.

We do not warrant that the Services will be uninterrupted or error-free, that all transactions will be authorised, or that data transmitted will be secure. You are responsible for your systems, backups, and for configuring your integration correctly, including webhook handling and idempotency.

12Limitation of liability and indemnity

To the maximum extent permitted by law, neither Paysorta, GGTConnect, DotFit Technologies Inc. (as licence holder), nor their officers, employees, or partners will be liable for indirect, incidental, special, consequential, or exemplary damages — including loss of revenue, profits, data, goodwill, or business interruption — arising from or related to the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to the Services is limited to the fees you paid to us for the Services in the three (3) months preceding the event giving rise to the claim, or as otherwise required by non-excludable law.

You agree to indemnify and hold us harmless against claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Services, your goods or services, or your violation of law or third-party rights.

13Suspension and termination

You may stop using the Services at any time. We may suspend, limit, or terminate access — including holding settlements pending review — where you breach these Terms, fail verification, present fraud, credit, or compliance risk, or where required by a regulator or partner.

On termination, your right to use the Services ends immediately. Provisions that by their nature should survive (including fees owed, refunds and chargebacks, IP, disclaimers, liability limits, indemnity, and dispute terms) continue to apply. Data retention after closure follows our Privacy Policy and legal duties.

14Complaints, governing law, and disputes

  • Complaints: contact us first at [email protected] so we can try to resolve the issue. Transaction disputes (such as “why was I charged”) follow the relevant payment-method dispute process.
  • Governing law: these Terms are governed by the laws of the Federal Republic of Nigeria.
  • Dispute resolution: disputes will first be addressed through good-faith negotiation, then mediation or arbitration in Lagos, Nigeria under the rules of an agreed arbitral body (such as the Lagos Court of Arbitration), with proceedings in English. Either party may seek interim relief from a court of competent jurisdiction.
  • Notices: we may give notice by email, dashboard notification, or posting on our website. You must keep your contact details current and send legal notices to [email protected].

15Changes to these Terms and contact

We may update these Terms to reflect new products, legal changes, or risk requirements. The current version will always be posted on this page with its effective date. Material changes will be notified by email or dashboard notice where reasonable. Continued use after the effective date means you accept the updated Terms.
